Representative Experience

Represented a Texas bank in connection with an $8 million financing for the acquisition of membership interests in an Oklahoma oil and gas producer. The representation included the negotiation and preparation of the loan documents, various conveyance documents, the operating agreement, as well as the review of oil and gas title issues.
Represented an Oklahoma bank in connection with a $3.5 million financing for the acquisition of oil and gas properties located in Wyoming. The representation included the negotiation and preparation of the loan documents, as well as the review of oil and gas title issues.
Obtained a verdict in favor of a Tulsa based finance company and against a national telecommunications company in the United States District Court for the Northern District of Oklahoma in a case for breach of contract, conversion and unjust enrichment involving more than $400,000 arising out of a factoring agreement.
Represented several owners of privately held companies in disputes between owners including, shareholder derivative actions, breach of fiduciary duties and actions to dissolve a business.
Represented owners of business that manufactured and marketed the triple edge wiper blade in action in federal court in Dallas, Texas in suit brought by minority shareholders.
Represented business broker in action to recover commissions due under agreement with business owner.
