Albright, Rusher & Hardcastle has significant experience in the negotiation and documentation with respect to all types of commercial transactions. This experience includes business formations (corporations, partnerships and limited liability companies), mergers, acquisitions & reorganizations, tax planning, conversions from one form of entity to another, secured transactions, borrowing and lending, employment agreements, non-competition agreements, private offerings and financings and blue sky compliance. In particular, Albright, Rusher & Hardcastle has extensive experience in representing the oil and gas industry in connection with negotiation and document preparation for oil and gas acquisitions and divestitures, oil and gas drilling programs, oil and gas income funds, participation agreements, operating agreements, oil and gas financing and natural gas gathering, processing and purchasing agreements.

Representative Experience

    • Represented a car dealership business in connection with the $13 million sale of a downtown Nashville, Tennessee location. The representation included the negotiation and preparation of the sale agreement, as well as the review of title and survey matters in compliance with complex subdivision, zoning and easement requirements.
    • Represented a car dealership business in connection with the acquisition of a $4.5 million location in Nashville, Tennessee. The representation included the negotiation and preparation of the acquisition agreement, as well as the review of title, survey and zoning matters in compliance with complex subdivision, zoning and easement requirements.
    • Represented a car dealership business in connection with the acquisition of a Mazda dealership located in an Oklahoma City suburb. The representation included the negotiation and preparation of the acquisition agreement, the lease for the real estate on which the dealership is located, as well as the review of title, survey and zoning matters in compliance with complex subdivision, zoning and easement requirements.
    • Represented the stockholders in connection with the sale and redemption of stock in a medical emergency transportation provider with offices in Texas, Florida, USVI and other locations located in the Caribbean for in excess of $40 million. The representation included the negotiation and preparation of the stock purchase and redemption agreement, leases, the various conveyance documents, loan documents, consulting agreement and voting agreement.
    • Represented the stockholders in connection with the sale of a Tulsa, Oklahoma based roofing materials distribution business for $25 million, having locations in Tulsa, Oklahoma, Fort Smith and Springdale, Arkansas and Joplin, Missouri. The representation included the negotiation and preparation of the sale agreement, facility leases, various conveyance documents, escrow and holdback agreement, independent contractor agreements and covenants not to compete.
    • Represented local investor in investment in Florida based Mortgage Company.
