Representative Experience

Continued representation of an independent oil and gas producer in connection with yearly Reg D private placement oil and gas drilling programs pursuant to which raised funds have ranged from $11 million to $25 million. The representation has typically included the preparation of the offering memorandum, including the research and preparation of the discussion describing the Federal income tax consequences of an investment in the program, the preparation of the program agreement, limited partnership agreement, subscription documents and the required Reg D filings with the SEC and state securities departments.
Represented an independent oil and gas producer in connection with 2 Reg D private placement oil and gas income funds pursuant to which raised funds ranged from $5 million to $8 million. The representation included the preparation of the offering memorandum, including the research and preparation of the discussion describing the Federal income tax consequences of an investment in the program, the preparation of the limited partnership agreement, subscription documents and the required Reg D filings with the SEC and state securities departments.
Represented an independent oil and gas producer in connection with a Reg D private placement $3.2 million joint exploration program. The representation included the preparation of the joint exploration agreement, subscription documents and the required Reg D filings with the SEC and state securities departments.
Represented an Oklahoma limited liability company in connection with a $1 million Reg D private placement financing the design, development and marketing of new innovative oil field equipment. The representation included the preparation of the LLC operating agreement, subscription documents and the required Reg D filings with the SEC and state securities departments.
Assisted numerous clients in the formation of limited liability companies, corporations and partnerships.
Representation has included negotiation of operating and shareholder agreements.
