The representation has included assisting clients with the acquisition of mineral interests, representing promoters with drilling programs and income funds, and drafting a variety of contracts including operating agreements, leases and gas processing agreements. They have also represented clients in oil and gas litigation including disputes over participation agreements, collection of amounts due under operating agreements and gas marketing agreements.

Representative Experience

Represented an independent oil and gas producer in connection with the sale of $265 million of oil and gas properties. The representation included the negotiation and preparation of the sale agreement and various conveyance documents, as well as the review of title matters.
Represented an independent oil and gas producer in connection with the sale of $315 million of oil and gas properties. The representation included the negotiation and preparation of the sale agreement and the various conveyance documents, as well as the review of title matters.
Represented an independent oil and gas producer in connection with the sale of $60 million of oil and gas properties. The representation included the negotiation and preparation of the sale agreement and the various conveyance documents, as well as the review of title matters.
Continued representation of an independent oil and gas producer in connection with yearly Reg D private placement oil and gas drilling programs pursuant to which raised funds have ranged from $11 million to $25 million. The representation has typically included the preparation of the offering memorandum, including the research and preparation of the discussion describing the Federal income tax consequences of an investment in the program, the preparation of the program agreement and limited partnership agreement and the required Reg D filings with the SEC and state securities departments.
Represented an independent oil and gas producer in connection with 2 Reg D private placement oil and gas income funds pursuant to which raised funds ranged from $5 million to $8 million. The representation included the preparation of the offering memorandum, including the research and preparation of the discussion describing the Federal income tax consequences of an investment in the program, the preparation of the limited partnership agreement and the required Reg D filings with the SEC and state securities departments.
Served as lead counsel for Tulsa based oil field supply company in defense of $40 million misappropriation of trade secrets case. Obtained very favorable jury verdict following three week jury trial in the United States District Court for the Western District of Oklahoma.
Represented Tulsa based oil and gas exploration and production company in multiple collection actions to recover unpaid operating expenses.
Obtained jury verdict for 100% of the amount sought by gas marketing company in breach of contract litigation.
Represented royalty owner in action against operator for removing oil produced in an effort to avoid paying the royalty owner.
Represented local investor action against promoter of drilling opportunity in Canada. Representation involved foreclosure on the drilling permit and obtaining a judgment for fraudulent conveyance for diversion of the drilling permit.
Represented a Tulsa based oil and gas company in establishing a mining subsidiary and acquiring the mining/quarry property and assets.
